Let’s Be Careful Out There - Protecting The Receiver From Liability Claims

A Federal Equity Receiver is an estate fiduciary who encounters many risks serving as the representative of a receivership estate.  Given the nature of the situations which often involve financial distress, improper conduct and/or fraud by management of the receivership entity or individual, federal equity receivers often find themselves in difficult situations with limited information and parties competing aggressively for the limited assets of the estate.  Any number of difficult decisions made by the receiver may disturb the interests of and/or dissatisfy an interested party.  In certain circumstances, parties in interest may blame, second guess, or question the decisions or conduct of the receiver and the receiver’s professionals and occasionally look to the receiver and/or the receiver’s professionals as a source of recovery to satisfy any shortfall.  Claims against a receiver not only expose the receiver to potential liability but compel the receiver to expend time and resources defending his or her conduct.  The ramifications of potential claims against a receiver may be reduced by the presence of a judge who is actively involved in supervising the administration of the receivership estate.

Our panel will examine the extent to which receivers have been found responsible for liability claims; and provide an overview of the types of potential liability claims a receiver may face to assist receivers in evaluating risks and making decisions in the exercise of their duties.  We will also discuss the Barton Doctrine and other potential safe harbors for the receiver. Finally, we will suggest safeguards that will allow the receiver to limit the inherent risks encountered during the administration of a receivership estate.
